Paragon is searching for an experienced General Counsel to join a well-established upstream oil and gas operator in Egypt. Reporting directly to the CEO and leading the Legal function, this is a senior leadership position with responsibility for providing strategic and commercial legal advice across the company’s operations, transactions and corporate activities.

The successful candidate will have extensive upstream E&P experience, with strong expertise across M&A and asset transactions, JOAs and joint ventures, upstream contracts, financing, disputes, corporate governance and risk management. The role will work closely with the CEO and senior leadership team on major commercial negotiations and strategic matters, while managing external counsel and leading the internal Legal team.

We are considering both local and international candidates. For international candidates, previous experience operating within Egypt, North Africa, the Middle East or comparable upstream jurisdictions would be highly advantageous, particularly experience working with host governments, NOCs and complex concession/PSC and joint venture structures.

Job Purpose: Providing legal advisory services on all transactions and other corporate matters, and in the effective management of the legal and contractual risks. Supervise the Legal Team and support all concessions legal matters.
Job Responsibilities:
  • Drafting, coordinating and reviewing upstream contracts/agreements which clearly reflect the objectives of the Company.
  • Drafting and reviewing other documents/material in connection with commercial transactions and operations, where there may be legal implications.
  • Responsible for ensuring dual language drafting accuracy in documentation with legal implications.
  • Provide legal advice on all parts of the business, including corporate matters, services, and dispute procedures.
  • Provide up-to-date information on the changes of the legislation relevant to the petroleum sector of Egypt.
  • Liaise with other departments to ensure that their advice and input are included, as appropriate, in agreements and other documents;
  • Liaise with and manage external/international legal advisors, prepare instructions and factual background information, and ensure complete and effective advice is received.
  • Participate, under the overall supervision of the CEO and commercial manager, in negotiations for upstream contracts to ensure that the Company’s objectives are met and risks reduced/managed
  • Coordinate and supervise settlement of disputes with third parties, including partners, contractors and suppliers.
  • Advising the company on the management of legal risks associated with revenue generating contracts, corporate services, governance, dispute management, new businesses and general advisory matters
  • Acting as the team lead in assigned legal work, driving execution for approved action plans
  • Collaborating externally with legal firms and driving creative legal dispute management solutions.
  • Prepare/manage legal budget.
  • Assisting in any other ad hoc tasks from time to time.

Job Requirements:
  • 18-22 years’ experience at least 10 years in the same field
  • Law Degree (preferably with an additional degree in International Law or English Law)
  • Master’s degree is a plus
